INTRODUCTION


These Terms and Conditions apply to the purchase of membership to Found & Flourish which is owned and operated by Found & Flourish Limited.  By purchasing a Found & Flourish membership, you agree to be bound by these Terms and Conditions.

If you refuse to accept these Terms and Conditions, you will not be able to purchase membership to Found & Flourish.

If you are a business customer this is our entire agreement with you.

If you are a business customer these terms constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in these terms and that you shall have no claim for innocent or negligent misrepresentation based on any statement in these terms.


ABOUT US

We are Found and Flourish (“Found and Flourish”, "us", and "our") and these are our Membership Terms and Conditions (“Terms”). By buying the Membership you agree that you have carefully read, understood, and agreed to uphold these Terms. Unfortunately, if you do not agree to these Terms then you will not be able to purchase the Membership.Please read these Terms carefully before applying for your Membership. You should also read our:Cookie PolicyPrivacy PolicyCommunity GuidelinesShould you agree to purchase the Membership, you are also agreeing to our Community Guidelines, Privacy Policy and Cookie Policy. These Terms (and the documents referenced in them) may sometimes change as well as our website and/or any features of the Membership. It is your responsibility to check this to see if any changes have been made. By continuing to pay for your Membership, it means that you accept these changes.

YOUR MEMBERSHIP

We would love to welcome you as a member! To register, you need to go to the ‘Join Us’ section of our website and submit your details. Membership acceptance is at the discretion of Lara Sheldrake or any individual appointed by her. You must not use the Membership for any purpose that is unlawful or prohibited by these Terms. Should this happen, we reserve the right to cancel your Membership. Membership is given on a non-exclusive, revocable and non-transferable basis, in accordance with these Terms. We reserve the right to withdraw, suspend, amend or restrict access to the Membership without notice. We will not be liable if any aspects of the Membership are unavailable at any time or for any period for any reason.By becoming a member, you agree that you are happy to receive updates and promotions from Found & Flourish. You can unsubscribe at any time.

TYPES OF MEMBERSHIPS

In respect of all payment methods, all prices will be shown in Pound Sterling and may be subject to VAT. Found and Flourish have two types of Memberships available: Founder - One month rolling contract – £19.99 per month or one year rolling contract – £195 (two months free)Flourisher - One month rolling contract – £49.99 per month or one year rolling contract – £495 (two months free)Membership represents a minimum, initial period of one or twelve months depending on which option you chose. To buy a Membership, you must be at least 18 years old. We reserve the right to change the Membership features, including the price, at any time without prior consultation.

MEMBERSHIP FEE

Your first membership payment will be due and automatically debited from your account the day you sign up. Any further payments will then be taken monthly or yearly, depending on the type of Membership you have signed up for.You accept that your bank may charge you an additional fee for certain transactions (for example, international transactions).

MEMBERSHIP RENEWAL

Your Membership will start on the date you sign up for the Membership and pay your membership fee. The Membership will then automatically renew on the anniversary of your registration date, whether that be every month or every twelve months (“Renewal Date”).By agreeing to these Terms, we are allowed to charge your original payment method for the renewal of the Membership. Should this information change, you agree to update it as necessary. You will be notified of the upcoming renewal of your Membership in advance of your Renewal Date.We reserve the right to refuse to process your transaction. We will not be liable to you or any third party due to any cancellation, refusal or suspension of any transaction after processing has begun.

DISCOUNTED AND PROMOTIONAL MEMBERSHIPS

Sometimes we may offer the Memberships at a reduced cost. However, we are not obligated to offer these Memberships and can discontinue the reduced-cost Memberships at any time and at our absolute discretion. A reduced-cost Membership is non-transferable.Any promotion code or special offers may not be used in conjunction with any other promotion code or offer.

CANCELLATION OF YOUR MEMBERSHIP 

We never want to see you go but you are entitled to cancel your Membership at any time after the initial period. To do this, you will need to log into your account on our website and set your payment plan to cancel. This will need to be done before your Membership renews and payment is taken. Refunds are given at our sole discretion and we have the right to charge a £28.00 admin fee for anyone who requests a refund on their Membership for any reason. After cancelling your Membership, any outstanding fees must be paid in accordance with these Terms. The Intellectual Property, Data Protection, Indemnification, Limitation of Liability and Confidentiality clauses will still apply regardless of the termination or cancellation of the Terms. We can cancel your Membership with immediate effect:if you fail to pay any amount due under these Terms by the relevant payment date;if you breach any of these Terms and that breach is irremediable or, if such breach is remediable, you fail to remedy the breach within 30 days of you being notified by us;as decided at our sole discretion.

MEMBERSHIP USE

During your Membership you may submit publicly available material to us and to the community “Your Material”. Your Material does not include your account information which you provided during registration. We love when Your Material is shared within our community, but when you do, you are agreeing to submit it in accordance with these Terms. If you do not want to review or submit Your Material in accordance with these Terms, then please do not submit them. We may use Circle as the platform on which the community will live, and through which content will be shared between us and the community. Please be aware that we do not systematically review Your Material or that of other members. We are not responsible for the content of Your Material or that of other members. We make no warranties or representations, express or implied, about Your Material. In submitting Your Material, you warrant to us that you are entitled to submit it and are not  infringing any rights of any third party.We want to make our community a safe space so when you submit Your Material, you are agreeing that Your Material is not illegal, obscene, defamatory, threatening, pornographic, harassing, hateful, racially or ethnically offensive, and does not encourage conduct that would be considered a criminal offence, and does not violate any law, or is otherwise deemed inappropriate.

CONFIDENTIALITY

You are responsible for maintaining the confidentiality of your log-in details. This includes not sharing your details with third parties. If you suspect or know that a third party has obtained your log-in details, you will need to change your password immediately and notify us as soon as possible.As a Member you may have access to and be presented with information regarding Found and Flourish and/or other Members’ businesses including but not limited to; business plans, business methods, ideologies, products, contracts, clients, suppliers and finances (Confidential Information). By registering as a Member, you agree that whilst you remain a Member and after termination or cancellation of your Membership you will not disclose to any person the Confidential Information except where; information if it is publicly available or known to you prior to being disclosed;where the information comes to your attention independently of the Membership;as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.During your Membership and for a period of 24 months after termination or cancellation, you will not use Confidential Information revealed to you regarding either Found and Flourish or other community members. You agree to not use Confidential Information to solicit or entice customers away from Found and Flourish or to become involved with any business concern which is, or intends to be, in direct competition with Found and Flourish.

INTELLECTUAL PROPERTY

All text, graphics, user and visual interfaces, photographs, trademarks, logos, sounds, music, and artwork (collectively known as the "Found and Flourish Content"), including but not limited to the design, structure, selection, coordination, expression, and arrangement of such Found and Flourish Content, contained on our website, our social media platforms and any other associated materials is owned and controlled by us, and is protected by copyright and various other intellectual property rights.We own, or are the licensees to, all rights, title and interest in our website, our social media platforms and any other associated materials, including all intellectual property rights. Any Found and Flourish Content that is not explicitly indicated as downloadable may not be downloaded or copied to any device. Except as expressly provided in these Terms, no part of our website and/or Membership features and the Found and Flourish Content may be used in any capacity without our prior written consent.

PERSONAL DATA

Any personal data you give us when registering or using our website will be processed in accordance with our Privacy Policy.  You agree that you are responsible for keeping your registration and Membership Profile details up-to-date and accurate. By using our website, you acknowledge and accept that transmitting data is never completely private or secure and that any message or information you send to our website may be read or intercepted by third parties.

OUR WEBSITE

Sometimes there may be information on our website or in the Membership that contains typographical errors, inaccuracies or omissions. Should this happen, we reserve the right to correct these and to change or update information at any time without prior notice. Our website may also provide links to other websites. We have not reviewed these third party websites and do not control nor make any representation about them. If you do decide to use any third party websites, you access these websites entirely at your own risk and we accept no responsibility for any loss or damage that may arise from your use of them.

DISCLAIMER AND WARRANTIES

Our website and the Membership are provided “as is” and “as available” and we expressly disclaim to the fullest extent permitted by law all express, implied and statutory warranties. We are not liable to you or any user for any use or misuse, reliance, inability to use, interruption, suspension or termination of our website and/or the Membership.Nothing in these Terms shall limit or exclude our liability for any liability that cannot be limited or excluded by law.

INDEMNIFICATION

You agree to indemnify, defend and hold us, our subcontractors and employees, harmless from any claim or demand made by a third party due to your breach of these Terms or the documents they reference, or your violation of any law or the rights of a third party.  

LIMITATION OF LIABILITY

As permitted by law, we disclaim responsibility for any harm resulting from your use of our website and/or Membership.If, notwithstanding other provisions of these Terms, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of our website and/or any Membership, our liability shall in no event exceed the greater of (1) the total of any fees with respect to the Membership received by us from you, during the 12 months preceding the date on which the claim arose; or (2) £100.00.

WAIVER

No waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

SEVERABILITY

If any of the provisions within these Terms are determined by any competent authority to be invalid, unlawful or unenforceable, such provision, will to that extent be severed from these Terms, with the remaining provisions continuing to be valid and enforceable.

ENTIRE AGREEMENT

These Terms and any documents expressly referred to in them constitute the entire agreement between us.

FORCE MAJEURE

Where we are not able to, or are delayed from carrying out our obligations under these Terms because of things beyond our reasonable control, our performance obligations shall be postponed until these circumstances end.

THIRD PARTIES

These Terms are between you and us. No third party will be able to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

GOVERNING LAW

These Terms are governed by the law of England and Wales. If any dispute should arise from, or relating to these Terms, then the dispute will be subject to the exclusive jurisdiction of the courts of England and Wales. Last updated:  Nov, 2023

COMMUNITY GUIDELINESS

Members must abide by the rules of participation in the group, which can be found below or in your welcome email.Any member who continuously and deliberately breaks these rules will be removed from the membership platform (Circle), see rules below:BE KIND: This membership exists to support you on your entrepreneurial journey, we’re all trying to do the best we can so treat others how you wish to be treated. We have zero tolerance to those who are mean and you will be removed immediately. This is a safe and non-judgmental space.

NO BULLYING OR HATE SPEECH: Make sure everyone feels safe. Bullying of any kind isn’t allowed, and degrading comments about things such as race, religion, culture, sexual orientation, gender or identity will not be tolerated.

RESPECT EVERYONE’S PRIVACY: Being part of this group requires mutual trust. Authentic, expressive discussions make groups great, but may also be sensitive and private. What’s shared in the group should stay in the group.

BE AN ACTIVE PARTICIPANT: Community is at the core of everything we stand for our Found & Flourish so please try to join in the conversation when and where you can.

LIMIT YOUR PROMOTIONAL CONTENT: So that we can protect the integrity of the group, we have a limit on promotional posts and provide a variety of tools to support your business such as the ‘Weekly Wins’ and ‘What I’ve been working on’ threads. Please use these opportunities to promote your business.

GIVE MORE THAN YOU TAKE: Always ask for help, that's what this community is here for! But please also give back willingly. The success of this space relies on members giving to each other as much they take (if not more!)

CONSIDER BEFORE YOU POST: We love you being active in the community, we love to see what you're up to and we love even more when you tap into the community when you're in a time of need. It's all here for you and we ask in return, that you respect the time and attention of your other community members. So before you post, think 'What is the purpose of this post? What do I want to get out of this? Does this invite others to respond? Am I being clear about what I need? If I am asking for something, can I offer something in return?' If need be, we do possess the right to refuse to post, remove or edit any of the material you post if they are in breach of our Terms and Conditions. If you're unsure, please feel free to check with us.

NO SALES PITCHES: As a community for women in business, we are all here to support one another. This is not a place for you to simply sell or benefit from others, we expect an exchange of value and for you to respect the time and attention of your fellow members. Please refrain from cold-emailing or pitching your services to fellow members.If members break these rules, it is at our own discretion to revoke membership or ban members. Although we don’t want to remove anyone from the group, we take any breaches very seriously as culture is everything in our community.
